We are looking for a Legal counsel to provide legal services to all group companies regarding transactions through own knowledge or external counsels and to maintain a transversal vision on the European activities and transversal knowledge in the industry relevant fields (IP, contracts, corporate finance, M&A, main EU relevant legislation including EU competition law).

LEGAL COUNSEL (M/F)

THE JOB

We are looking for a Legal counsel to provide legal services to all group companies regarding transactions through own knowledge or external counsels and to maintain a transversal vision on the European activities and transversal knowledge in the industry relevant fields (IP, contracts, corporate finance, M&A, main EU relevant legislation including EU competition law).
The main responsibilities are the following:

  • Working closely with the Legal team of the Company to evaluate legal impact of decisions where European laws, regulations, or facts of the case apply and are unclear, controversial, or conflicting; and to provide legal assistance to local finance department and legal assistance for Luxembourg legal aspects to foreign departmentss (other group entities).
  • Working in multi-geographic team and providing general, specialist and strategic legal advice.
  • Contributing to the drafting of policies, procedures, standards, processes, etc;
  • Managing the outsourcing process (sourcing and managing external counsel).
  • Reviewing and drafting contracts, agreements and internal policies and ensuring that they comply with all statutory or legal requirements.
  • Assisting the compliance and audit departments. on local legal requirements or aspects.
  • Developing processes to map the regulatory framework and capturing the new rules and regulations that apply to the company.
  • Reviewing all contracts or any other documentation where the Company has committed itself and assessing legal implications that need to be brought to the executive management's or signatory's attention.
  • Acting as advisor on legal issues involving the organization's regulatory compliance.
  • Reviewing legal data and advising organization on appropriate legal action to be taken.
  • Demonstrating experience in general corporate matters, including corporate organization, securities compliance, drafting transactional and services documents, license agreements, employment law, data privacy, and contract management.

THE CANDIDATE PROFILE

  • Master's degree in Law.
  • 5 years post qualification practicing as an in house Corporate Counsel, knowing and applying legal ethics and related behaviours and responding professionally to conflicts of interest.
  • Experience in complex contract drafting and negotiations, trade secrets and other areas specific to the computer and technology industry would be a real asset.
  • Fluent in English and French is mandatory.
  • Knowledge in Luxembourg contract law and commercial and corporate law.
  • General knowledge in EU laws and regulations.
  • Analytical thinking, risk oriented and organised.
  • Pragmatic and able to work autonomously and in team.
  • Detail-oriented, proactive and able to handle pressure.
