We are looking for someone who is passionate about Governance and who is looking for continuous improvement and who will integrate in a well-established and dynamic team. While working independently you will be a team player, support and assist to run the team transformation projects.

The team
You will be joining a small, dynamic, well-established and multi-cultural team. The Team is based in Luxembourg and reports directly to the Group Head of Governance Europe.

What you'll do
• Support the growing private assets business within Schroders to achieve its objectives through effective governance arrangements.
• Assist the business in launching products (regulated and non-regulated) and implementing the structuring in Luxembourg. Successfully represent Governance within the product launch working groups to ensure the appropriate governance is put in place (KPIs set, appropriate service providers identified, sign-off on board compositions etc).
• Advise the various boards (executive/non-executive directors, independent directors) of SICAVs, alternative investment funds and fund subsidiaries on governance matters. The candidate will play a critical role in the development of governance within the Luxembourg business and in ensuring that the corporate governance arrangements for the regulated and unregulated entities are appropriate and in line with best practice.
• Engage with Group functions to facilitate implementation of Governance Target Operating Model for the Private Assets Business.
• Review and assist in developing Governance related procedures and policies tailored to the private assets business;
• Drive the Governance agenda for the Private Assets business: advice on board composition, board competencies and responsibilities, board evaluation and training program, reporting calendar, as well as provide feedback on the reporting papers submitted to the board;
• Act as Company Secretary for a range of private assets funds and assist with the end-to-end process of board (quarterly, ad-hoc, transactional) and shareholder meeting organisation, as well as assistance with the annual accounts approval process.
• Ensure compliance with relevant regulatory and statutory requirements and keep abreast of news developments and best practice, including the filing with the register of beneficial owners (RBE);
• Contribute to Governance European/Group projects as required;
• Ensure appropriate oversight of company secretarial services provided by relevant corporate service providers and monitor and track KPIs;
• Contribute to developing appropriate governance standards for Schroder-managed private asset funds and investment vehicles in Europe;

The knowledge, experience and qualifications you need
• Qualification as Chartered Company Secretary qualification or equivalent is a plus but not mandatory;
• You have at least 3-4 years previous experience in a similar environment (Fund Industry);
• You are organised, have attention to detail and can prioritise and deliver within tight deadlines with minimum supervision;
• You have excellent communication and interpersonal skills;
• You are fluent in English, both written and spoken;
• Experience attending meetings and taking timely, effective and accurate minutes;
• You have good systems skills including MS Office packages.

• Knowledge in the fund industry, corporate and fund governance;
• You are analytical and thorough in handling your assignments.
