Working with fellow COs in Luxembourg, you will foster strong working relationships with key stakeholders, including the AIFM’s Board of Managers, colleagues in other Coller Capital group companies, the CSSF, and external service providers, to deliver best-in-class regulatory compliance. Your role will also entail acting as “Responsable du contrôle du respect des obligations” (RC) with respect to AIFs managed by the AIFM. You will report to the AIFM’s Board of Managers, and functionally be part of Coller Capital’s group-wide Legal & Compliance function.

Responsibilities:

Your role will have a broad remit. In collaboration with the AIFM’s other COs, you will be responsible for the set-up and ongoing management of the newly formed AIFM, focusing on systems and controls meeting CSSF requirements and expectations. You will ensure that the AIFM’s compliance and AML functions are established and operated consistent with sound industry practice to provide effective oversight of the activities of the AIFM itself, its delegates, and the AIFs managed by it. You will oversee the AIFM’s arrangements to ensure compliance with applicable laws and regulations; render advice to the AIFM’s other COs and other professionals across the Coller Capital group; assist with the establishment, (pre-)marketing and closing of AIFs, including onboarding and ongoing reviews of investors and service providers. You will serve as the AIFM’s primary point of contact for governmental and regulatory agencies.

Initial set-up:

  • Drafting, periodic review and maintenance of internal policies and procedures of the AIFM in relation to regulatory compliance, AML, financial crime and other relevant matters
  • Identifying applicable legal and regulatory parameters for the activities of the AIFM itself, its delegates, and the AIFs managed by it; designing regulatorily compliant operating frameworks for them; and overseeing all related compliance arrangements
  • Designing a compliance programme for the AIFM in light of applicable CSSF requirements and expectations, and working towards the integration of that programme into Coller Capital’s group-wide compliance programme
  • Working closely with key stakeholders, including the other ROs, the AIFM’s Board of Managers, and relevant service providers, to agree appropriate information and process flows
  • Putting in place all required regulatory reporting arrangements with respect to the AIFM itself and the AIFs managed by it, both with respect to the CSSF and any other relevant governmental or regulatory authorities

Ongoing operation

  • Identifying, documenting, testing, and mitigating compliance risks, assessing their likelihood and impact
  • Monitoring implementation of regulatory compliance arrangements, seeking continuous improvement
  • Advising on the interpretation and implementation of applicable laws and regulations, including any proposed or actual changes
  • Serving as the key point of contact within the AIFM and the wider Coller Capital group with respect to all regulatory compliance and AML related matters arising in Luxembourg
  • Serving as a primary point of contact for the CSSF and other relevant governmental and regulatory agencies, and overseeing timely and compliant regulatory reporting to such agencies
  • Carrying out investor complaint monitoring and related reporting
  • Planning and delivering regulatory compliance training and overseeing compliance by AIFM staff with their personal compliance obligations
  • Collaborating with, and supporting, other members of Coller Capital’s Legal & Compliance team with respect to non-AIFM-specific requirements, processes and projects

Essential experience:

  • Strong degree in a relevant field from a recognised university or business school
  • At least 7-10 years of relevant experience within an AIFM, another financial institution or a relevant service provider
  • In-depth knowledge of AIFMD (as implemented in Luxembourg and applied by the CSSF)
  • Familiarity with private equity transactions and fund lifecycles
  • Track record of interaction with, and reporting to, financial regulators, notably the CSSF

Desirable experience:

  • Track record as a responsible officer within another reputable Luxembourg financial institution
  • Familiarity with different fund structures and regimes, in particular RAIFs and Part II UCI funds
  • Experience working within a secondaries/fund-of-funds environment or with private credit/debt funds
  • In-depth experience dealing with fund administrators, depositaries, and other third-party service providers
  • Experience with company secretarial work
  • Law degree/qualification or accounting qualification
