Company Secretary - SCVentures
SC Ventures ("SCV") was established in March of 2018 with the purpose of "Rewiring the DNA in Banking" by bringing three distinct areas together:

The eXellerator labs, enabling innovation at large in the Bank by supporting:
Entrepreneurially-minded colleagues as "Intrapreneurs", developing ideas to products, services or new business models.
Collaboration with fintech companies, supported by the SC Ventures FintechBridge[1], Proof of Concept ("POC") framework and POC funding.
Client engagement on co-creation activities.

The Innovation Investment Fund ("Fund"), USD100m allocated to acquire minority stakes in fintech companies ("fintechs") whose technology has been successfully validated in the Group and is progressing to production (i.e., continuing use), subject to commercial due diligence.

Venture building, exploring new business models ("ventures"), with the objective of providing 'optionality' for the Group in the way it engages existing and new customers and markets. These adopt a start-up model, operating independently of the Group's existing businesses, funded in a venture capital fashion, and under a different governance and risk management framework.

There are c.65 team members (excluding individual ventures), including dedicated colleagues from the Group's support functions, based in Singapore, Hong Kong, Shanghai, Nairobi, London and San Francisco.

Key Roles and Responsibilities

• Lead and provide company secretarial support and advice to SC Ventures management and stakeholders.
• Lead the scoping of the future state of company secretarial support for SC Ventures as it develops
within the Standard Chartered risk management framework.
• Lead, manage and support the provision of company secretarial advice and transactional support for
projects and transactions involving SC Ventures.
• Establish and maintain frameworks to identify, assess, manage, monitor, mitigate and report
corporate governance risks related to SC Ventures.
• Promote a culture and practice of good conduct of business and adherence to all GCS policies and
standards within the Group.

Business Advisory
• Responsible for providing exemplary corporate governance and corporate authorities advice in relation to all aspects of proposed corporate transactions, including acquisitions, disposals and divestments relating to SC Ventures globally including ensuring projects are compliant with internal policies and approval processes and local laws and regulations.
• Act as expert advisor to SC Ventures regarding the Group's Sources of Authority Framework, including providing advice on appropriate delegated authorities, management of powers of attorney and facilitating SCPLC Board or SCB Court and local subsidiary board approvals.
• Responsible for providing guidance on the Changes to Group Corporate Structure approval process, including acting as a "trusted advisor" to stakeholders in connection with the approval process and providing guidance and support in connection with transaction related documents for SC Ventures.
• Develop and build strong linkages with senior stakeholders within SC Ventures, Group Corporate Development, Group Treasury, Group Legal and Compliance and other parts of the business.
• Responsible as a 'trusted advisor' to the directors of SC Ventures entities and be their point of contact for all corporate governance and board related matters.

• Responsible for managing corporate secretarial out-sourced service providers on behalf of venture companies.
• Prepare board resolutions and organise board papers, managing venture stakeholders.
• Organise for execution and filing of relevant reports, returns, board papers and other documents.
• Maintain soft copies of all final and executed/signed documents in shared server.
• Maintain and safe keep physical documents and registers, ensuring files are up to date.
• Support Accountable Executives and Responsible Persons in updating Blueprint and acting as Responsible Person for SC Venture entities, as may be required.

Power of Attorney (POA) Coordinator
• Act as POA Coordinator to the Senior POA Holder within SC Ventures and manage, process and monitor all POAs issued to members of SC Ventures
• Maintain timely records of POAs issued on Blueprint, monitor and manage the renewal process, including coordinating any POA revocation process.

Board Support
• Responsible for assisting the business in securing appropriate board support including ensuring the projects have resources sufficient to support a Board and recruiting qualified company secretaries or third party company secretary providers and managing these contracts and SLAs to adhere to Group standards.
• Support third party company secretarial providers and and/or the dedicated venture Company Secretaries (where in place) to arrange board meetings and all aspects of board logistics of SC Venture entities.
• Coordinate and follow through the execution of all board and shareholder resolutions and minutes, including any underlying documents.
• Ensure a systematic database of all venture entities board meeting details is maintained (which should include, attendance, agenda, board papers, minutes and resolutions).
• Assisting in the identification, on-boarding and induction of INEDs and NEDs for ventures until establishment and managing an orderly transition to the new company secretarial team or outsourced provider.

Risk Management
• To act as risk owner for Corporate governance for SC Ventures in the identification, assessment and control of GCS operational risk processes, including the designing of related controls, control monitoring and reporting.
• Responsible for creating and maintaining departmental operating instructions to enable efficient and robust corporate governance processes and to link these with the typical life cycle of SC Venture entities.

Policy Development
• If needed assisting in drawing up policy standards or waivers for GCS policies to give more flexibility to SC Ventures whilst retaining appropriate controls.

Regulatory & Business Conduct
• Display exemplary conduct and live by the Group's Values and Code of Conduct.
• Take personal responsibility for embedding the highest standards of ethics, including regulatory and business conduct in the local subsidiary. This includes understanding and ensuring compliance with, in letter and spirit, all applicable laws, regulations, guidelines and the Group Code of Conduct of Standard Chartered Bank.
• Effectively and collaboratively identify, escalate, mitigate and resolve risk, conduct and compliance matters.

Knowledge and Skills
• Academic or Professional Education/Qualifications (e.g. Law degree, chartered secretary or chartered accountant) with company secretarial technical knowledge and experience, ideally gained within the financial services sector.
• Good levels of business advisory/corporate governance support as a Company Secretary including in the formation of legal entities.
• Self-motivated with good interpersonal skills, able to work as an individual contributor and team player, collaborating effectively across functions and jurisdictions.
• Strong communication skills with the ability to communicate at all levels.
• Strong IT skills (these should include MS Excel, Word and Power point).
• Knowledge and understanding of the regulatory environment in which the Group operates.
• Ability to understand and anticipate the needs of stakeholders.
• Highly meticulous with good organisational ability, able to manage multiple projects and priorities.
• Good working knowledge of "Blueprint One World".
