Senior Legal Counsel - Global Services

Purpose of Role
This is a senior role in the GS UKMEA legal team, advising the GS UKMEA and EMEA business on all legal aspects of their activities, and includes engaging with senior and executive management in the business and legal, as well as compliance, risk and other control functions.

Major Responsibilities
Role specifics
  • Drafting, reviewing, negotiating and advising on a broad range of service agreements for Global Services UKMEA including custody, fund accounting, investment analytics and collateral management arrangements
  • Advising on the legal implications of regulations applicable to the bank's operations and/or the services that it provides, including financial services regulation (in particular the CASS rules and the FCA rules generally), as well as other regulations (e.g. the Data Protection Act and the Bribery Act)
  • Advising on all legal aspects of outsourcing transactions and cross border service arrangements governed by English law
  • Advising on legal issues related to new business development initiatives, including negotiating and drafting heads of terms documents, attending client presentation meetings and reviewing and advising on RFP documentation and confidentiality agreements
  • Working with senior and executive legal, business, risk and compliance stakeholders to ensure that outcomes meet the requirements, priorities and deadlines of the business
  • Proactively providing local support to corporate legal initiatives, new product and business developments, including drafting new template agreements and advising on product regulatory aspects
  • Instructing and managing external counsel
  • Regular cooperation with lawyers in other jurisdictions

Qualifications:

Level of Education
  • minimum 6-8 years PQE

Skills and Experience
  • City law firm background.
  • Experience in top tier banking group, or international custody and securities services institution

Required Competencies
  • Strong knowledge of financial regulations, contract and commercial law
  • Excellent contract drafting and negotiation skills, written and verbal communication skills
  • Quick learner and team player with a proactive 'can do' approach
  • Solutions-oriented, resourceful, broader picture approach
